PC re-starts after a full shut down

I have the following system: P4 HT 3 Ghz; 1 GB RAM; 160 Gb HDD all on an ASUS ASUS P5QL SE motherboard.
I have recently repaired a Win XP Pro install using a student version of XP Pro. This was after replacing the original Gigabyte motherboard.
Now all seems OK except that when I Shut Down, the computer re-starts after a second or so. The case fans actually stop for a second or two.
Have checked all I can think of in Win and BIOS. All looks OK. Any ideas? One more thing: the on-board beeper gives a multi-tone tweet when I first access Task Mgr. Ok for subsequent times.

It may well be a driver related issue as you replaced the motherboards.
I would suggest booting into windows in safe mode and uninstalling ALL the drivers on your system, then reboot and install the ASUS drivers.
Have you tried running memtest to make sure your RAM is ok. Also check in the BIOS that the RAM Vcore is set correctly,the default is 1.8v but the specific vcore for different modules can be anywhere between 1.8 and 2.4!

One other thing, if you look in the motherboard manual it will tell what different "beeps" mean when your system posts.

Its a long shot,but it could be you internet "waking" up your rig.Check all WOL-wake on lan settings are off in the bios-had a similar problem years ago with that.Also changing motherboards over without reformatting is fraught with danger,there might be some of you old motherboard drivers conflicting with your new ones.better to be safe than sorry-backup and reformat.
